By accessing or using Mateflow ("the Service"), you agree to these Terms of Service and any policies we link to, including our Acceptable Use Policy and Privacy Policy. If you do not agree, do not use the Service.

Mateflow is a social community SaaS platform that helps creators, organizations, and brands build branded online communities. The Service includes community spaces and feeds, member profiles, messaging, content and events, monetization and memberships, AI features, analytics, custom domains and branding, mobile apps, and tools for moderation, administration, and member management, along with an API, webhooks, and integrations. Like other community platforms, features may change as we improve the Service.

Mateflow provides the platform; it does not run the individual communities hosted on it. Three roles interact through the Service:

• Mateflow — we provide and operate the underlying platform and tools.
• Community Owners — creators, organizations, and brands who create and operate a community, configure its spaces and access rules, set their own community guidelines, and act as administrators.
• Members — people who join a community to participate in its spaces, events, and content.

Community Owners are responsible for their communities, including the content, rules, monetized offerings, and the member relationships within them. When you join a community as a Member, you also agree to that community's own guidelines in addition to these Terms.

You must be at least 13 years old to use the Service. If you are using Mateflow on behalf of a company or organization, you represent that you have authority to bind that entity. You are responsible for safeguarding your account and all activity under it.

• Provide accurate and complete information and keep it up to date.
• Do not share your password or access credentials.
• Use the Service only for lawful purposes.
• Notify us promptly of any unauthorized use or security breach.

Mateflow is built for respectful, safe communities. You agree not to post or share content that is illegal, abusive, harassing, or infringes intellectual property rights. Community Owners are expected to moderate their own communities in line with our Acceptable Use Policy. We may also remove content, restrict visibility, suspend accounts, or terminate access if we believe there is a violation of these Terms or our Acceptable Use Policy.

Operating a community on Mateflow may require a paid plan. This section covers fees that Community Owners pay to Mateflow for the platform; fees that Members pay to a Community Owner are covered separately below. We bill platform plans in advance on a recurring basis (monthly or annual). Trial or promotional terms, if offered, are described at signup. You are responsible for applicable taxes. Unless required by law, platform fees are non-refundable, and cancellations take effect at the end of the current billing period.

Mateflow lets Community Owners monetize their communities through membership tiers, paid spaces, events, and other premium offerings. Payments between Members and Community Owners are processed through our third-party payment providers.

• Community Owners set their own prices and define what each paid offering includes.
• Community Owners are solely responsible for delivering their offerings, honoring any commitments to Members, handling member refunds and disputes, and meeting applicable tax and consumer-protection obligations.
• Mateflow is not a party to transactions between Members and Community Owners and is not responsible for those offerings.
• Platform fees, processing fees, and payout terms for monetized communities are described in your plan and at checkout.

You retain ownership of content you submit. By posting content, you grant Mateflow a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute that content solely to operate, improve, and provide the Service, including processing it through AI features you choose to use. Content visibility depends on the community settings you choose and the community administrator's rules.

The Service includes optional AI features, such as an AI copilot and AI-assisted chat that can draw on knowledge sources and community content you provide. If you use these features:

• Content and knowledge sources you connect are processed to generate responses within your own community.
• AI output can be inaccurate or incomplete; you are responsible for reviewing it before relying on or publishing it.
• We do not use your community content to train shared or third-party AI models without your permission.
• You must not use AI features in violation of our Acceptable Use Policy or applicable law.

You may connect a custom domain, apply your own branding, and use our API, webhooks, and integrations to extend the Service. You are responsible for holding the necessary rights to any domain you connect and for securing your API keys. Use of the API and integrations must stay within applicable rate limits and documentation, and may not be used to disrupt, overload, or reverse engineer the Service.

You may not use the Service:

• For any unlawful purpose or to solicit others to perform unlawful acts.
• To violate applicable laws or regulations.
• To infringe intellectual property rights.
• To harass, abuse, threaten, or discriminate against others.
• To post or distribute adult, sexually explicit, or pornographic content.
• To impersonate another person or entity.
• To upload or transmit malware, spam, or harmful code.

The Service, including software, design, and branding, is owned by Mateflow and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

The Service may integrate with third-party services such as payment processors, analytics providers, or communication tools. Your use of those services is subject to their own terms, and we are not responsible for third-party services.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Mateflow disclaims all warranties, and will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction and venue there. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
